The proposed £1 billion transaction would constitute a reverse takeover, resulting in UPSA shareholders holding a controlling stake in the enlarged group. Completion remains subject to due diligence, regulatory and shareholder approvals, and re-admission to the market.

Talisman Metals plc is an AIM-listed mineral exploration company, formed following reverse takeover of Ovoca Bio which resulted from its acquisition of Tadeen International Ltd and the successful readmission of the enlarged group to trading on AIM. The company is focused on copper and silver exploration, with its core asset base located in Morocco. Talisman’s Moroccan portfolio is held through its wholly owned subsidiary, Horizons Mines SARL, and comprises 10 exploration permits covering approximately 129.8 km² across the Tizert and Argana project areas.  The company is now progressing systematic exploration across its Moroccan assets, supported by recent fundraising, with the objective of defining drill-ready targets and building a scalable copper-focused exploration business.
